The rules of the road — what you can expect from us and what we ask of you.
Please read these Terms of Service ("Terms") carefully before using webgurusindia.in or engaging Web Gurus India for any services. By accessing our website or signing a project proposal, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
These Terms constitute a legally binding agreement between you (the "Client" or "User") and Web Gurus India ("we", "our", or "us"), a web design and digital marketing agency headquartered in Mumbai, Maharashtra, India.
By using this website or engaging our services, you represent that you are at least 18 years old and have the legal capacity to enter into a binding contract. If you are acting on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.
Web Gurus India provides the following categories of services:
The specific scope, deliverables, timelines, and pricing for any engagement are defined in a written proposal or Statement of Work ("SOW") agreed between both parties. In the event of a conflict between these Terms and an SOW, the SOW prevails for that specific project.
Project kick-off: Work begins only after a signed proposal/SOW and receipt of the agreed advance payment.
Client responsibilities: You agree to provide all necessary materials (content, images, brand assets, credentials, approvals) in a timely manner. Delays caused by late client input may extend project timelines without penalty to Web Gurus India.
Revisions: Each project package includes a defined number of revision rounds as stated in the SOW. Additional revisions beyond the agreed scope will be billed at our standard hourly rate.
Change requests: Any changes to agreed scope must be submitted in writing and will be quoted separately. We will not begin out-of-scope work without written approval.
Third-party accounts: Where we manage third-party accounts on your behalf (Google Ads, Meta, hosting, domain), you remain the account owner. We act as an authorised manager only.
Payment schedule: Unless otherwise stated in the SOW, our standard schedule is:
For ongoing retainer services (SEO, social media, maintenance), fees are billed monthly in advance and due on the 1st of each month.
Late payments: Invoices not paid within 7 days of the due date may attract a late fee of 2% per month on the outstanding amount. We reserve the right to pause work on overdue accounts.
Refund policy: Advance payments are non-refundable once work has commenced. If we are unable to begin work within 30 days of receiving an advance (due to our own scheduling), you are entitled to a full refund of the advance. Refund requests after work has commenced will be assessed on a case-by-case basis, with any refund reduced by the value of work already completed.
Ad spend & third-party costs: Any ad budgets, domain registrations, hosting fees, stock photo purchases, or other third-party costs are billed separately and are the client's responsibility. These are not refundable once incurred.
What you own: Upon receipt of full and final payment, you own the custom design elements, content, and code created specifically for your project. Ownership transfers only after all outstanding invoices are settled.
What we retain: We retain ownership of:
Portfolio rights: We reserve the right to display your completed project in our portfolio, case studies, and marketing materials unless you request otherwise in writing before project completion.
Our website content: All content on webgurusindia.in — including text, graphics, logos, and software — is owned by Web Gurus India and protected under copyright law. You may not reproduce or repurpose it without written permission.
You warrant that all content, images, text, and materials you provide to us:
You indemnify Web Gurus India against any claims, losses, or expenses arising from your content violating these warranties. We reserve the right to refuse or remove content that we reasonably believe is unlawful.
Both parties agree to keep confidential any non-public business information shared during the engagement (including but not limited to pricing, strategy, client lists, and technical specifications). This obligation survives termination of the engagement for a period of 3 years.
Confidentiality does not apply to information that is or becomes publicly available through no fault of the receiving party, or that must be disclosed by law.
What we warrant: We will perform services with reasonable skill and care, in accordance with the agreed SOW and applicable professional standards.
What we do not warrant:
Our website and the free audit tool are provided "as is" without warranties of any kind. Audit results are indicative only and should not be treated as a professional technical audit.
To the maximum extent permitted by Indian law, Web Gurus India's total liability to you for any claim arising out of or relating to our services shall not exceed the total fees paid by you to us in the 3 months immediately preceding the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, however caused and whether arising in contract, tort, or otherwise — even if we have been advised of the possibility of such damages.
This limitation does not apply to liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
By either party: Either party may terminate a project engagement with 14 days' written notice. You remain liable for all work completed up to the termination date, which will be invoiced accordingly.
By us: We may terminate immediately and without notice if you breach these Terms (including non-payment), engage in abusive conduct toward our team, or request work that is illegal or unethical.
Retainer services: Monthly retainers require 30 days' written notice to cancel. No refund is issued for partial months already billed.
Handover: Upon termination and settlement of all outstanding amounts, we will provide a reasonable handover of completed deliverables and credentials within 7 business days.
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.
Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days.
